Terms of Service

The terms that apply when you use the DayDecoder website and engage us for software services.

Effective 26 October 2026 · Last updated 26 October 2026

These terms apply to your use of this website and to the software development, consulting and support services provided by DayDecoder, Ahmedabad, Gujarat 382421, India. If you sign a separate proposal, statement of work or master services agreement with us, that document takes priority over these terms where they differ.

Using this website

You may use this website to learn about our services and contact us. You must not misuse it, for example by trying to break its security, sending spam through our forms or copying content for commercial use without permission. Content on this website is general information and is not professional advice.

Proposals and statements of work

Each engagement starts with a written proposal or statement of work that sets out the scope, deliverables, timeline, engagement model (fixed scope, dedicated developer or time and materials) and price. Work outside the agreed scope is handled through a written change request.

Fees and payment

Fees, currency, milestones and payment terms are set out in the proposal. Unless agreed otherwise, invoices are payable within 15 days. We may pause work if invoices remain unpaid after a reminder. Prices exclude applicable taxes (such as Indian GST), bank charges and third-party costs like hosting, licences and app store fees, which are billed as agreed.

Client responsibilities

You agree to give us timely feedback, access, content and decisions, and to make sure any material you give us does not infringe anyone else's rights. Delays on your side may move the timeline.

Intellectual property

Once you have paid in full for a deliverable, you own the custom code and designs we create specifically for you under that engagement. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a non-exclusive, perpetual licence to use them as part of your deliverables. Open-source and third-party components remain under their own licences. Unless you ask us not to, we may mention you as a client and describe the work in general terms without revealing confidential information.

Confidentiality

Each party will keep the other's confidential information secret and use it only for the engagement. We are happy to sign a mutual NDA before you share project details.

Data protection

Where we process personal data on your behalf, we do so under your instructions and, where required by GDPR, UK GDPR or India's DPDP Act 2023, under a data processing agreement. Our own use of personal data is described in our Privacy Policy.

Warranty

We will perform services with reasonable skill and care. After delivery we fix defects in our own work that are reported within the warranty period stated in the proposal (30 days if none is stated). Apart from this, the website and services are provided "as is" to the extent the law allows.

Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential losses, or for loss of profit, revenue or data. Our total liability under an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim. Nothing in these terms limits liability that cannot legally be limited.

Termination

Either party may end an engagement with written notice as set out in the proposal, or immediately if the other party materially breaches these terms and does not fix the breach within 15 days of notice. You pay for work done up to the termination date, and we hand over completed work that has been paid for.

Governing law and disputes

These terms are governed by the laws of India. We will first try to settle any dispute through good-faith discussion. If that fails, the courts at Ahmedabad, Gujarat have exclusive jurisdiction, unless the signed contract with you says otherwise.
